In Ukraine, we advise on complex and high-profile projects for international corporations, investors, and Ukrainian businesses.We are seeking a talented and motivated Associate to join the Corporate and M&A service line in our Kyiv office.The successful candidate will work closely with senior team members and clients on complex domestic and cross-border corporate transactions, including mergers and acquisitions, joint ventures, corporate restructurings, and private equity deals.This role is ideal for a lawyer with strong analytical and communication skills, a keen interest in transactional work, and experience or interest in contract management, legal due diligence, and corporate governance matters.Responsibilities include: - Draft, review, and manage a wide range of commercial and corporate contracts, including share purchase agreements, shareholder agreements, and service contracts. - Conduct legal research on corporate, commercial, M&A, and regulatory matters, including competition, sanctions, and foreign ownership issues.  - Assist in the preparation and review of legal opinions, memoranda, and risk assessments.  - Support full-cycle M&A transactions, including:due diligence of target companies (corporate, regulatory, and contractual review);preparation of transaction documentation;post-closing corporate actions and integration support.  - Advise on day-to-day corporate matters, including corporate governance, statutory reporting, and regulatory compliance. - Prepare presentations, project summaries, and client deliverables under senior supervision.  - Liaise with counterparties, clients, and local authorities as required. - Collaborate closely with cross-practice teams (banking, tax, antitrust, dispute resolution) on complex mandates.Key skills and experience required:Ukrainian law degree (Master’s degree in Law);2+ years of relevant legal experience in corporate/M&A, preferably at an international or top-tier local law firm;Strong knowledge of Ukrainian corporate, commercial, and contract law;Experience with legal research and legal drafting in English and Ukrainian;Excellent command of English, both written and spoken;Strong attention to detail and the ability to manage multiple deadlines;Proactive, collaborative attitude, and eagerness to develop a specialization in M&A and transactional advisory. What we offer:Challenging projects from the TOP International Legal CompanyVery rich corporate social benefits packageCompetitive salary linked to  Euro rateOutstanding and fertile climate and active social life All necessary support for you career and advancementApply now, this is YOUR chance!
